SaaS Transition, Cloud Operations & Acquisition Readiness
How I helped lead a startup software company through subscription transition, pricing strategy, cloud operations maturity, buyer evaluation, diligence, acquisition, parent-company reporting, and post-close transition.
At Windward, I helped lead the company through a major operating transition: from perpetual license revenue to a subscription model, from physical/server-based infrastructure toward cloud operations, and from startup independence through buyer evaluation, due diligence, acquisition, parent-company reporting, and post-close transition. As the senior finance leader, I helped evaluate and shape the decision to pursue the subscription transition, built pricing strategy and revenue models for different product offerings, and created KPIs and milestones to track progress, preserve business continuity, and support pivots when needed. The work required finance, operations, customer support, DevOps coordination, equity administration, legal documentation, audit readiness, and executive reporting to move together.
The Operating Problem
The company was moving through several transitions at once. Revenue was shifting from perpetual license sales toward subscription-based revenue. Infrastructure was moving from physical/server-based operations toward a more cloud-oriented operating model. The business was also preparing for buyer evaluation, diligence, acquisition, and post-close parent-company reporting.
This required more than clean financials. The company needed stronger operating visibility across revenue, customers, support, infrastructure, equity, legal documentation, reporting, audit readiness, and executive decision-making.
What Changed
The work helped the company move through a major operating transition with stronger visibility into pricing, revenue, customers, infrastructure, equity, diligence, and reporting. Subscription strategy became more structured. Product pricing became easier to evaluate. Leadership had clearer KPIs and milestones for tracking whether the transition was working and when to pivot. Cloud and DevOps coordination became more connected to operating needs. Diligence materials became more organized. Customer support and executive reporting became more usable during a high-stakes transition.
The result was not just acquisition support. It was a stronger operating foundation for a software company moving from founder-led startup operations toward a more mature SaaS, cloud, and parent-company reporting environment.
What I Led
01 - Pricing Strategy & Subscription Revenue Modeling
As the senior finance leader, I helped evaluate and shape the decision to move toward subscription revenue, built pricing strategy and product revenue models, and created KPIs and milestones to track progress, support pivots, and protect business continuity.
02 - Acquisition & Diligence Readiness
Managed financial, legal, audit, equity, and operational diligence workstreams, including source documentation, diligence responses, and materials for outside counsel review.
03 - Cloud Operations & DevOps Coordination
Supported the transition from physical/server-based infrastructure and partial cloud usage toward a more mature cloud operating model, coordinating across finance, operations, technical support, and DevOps needs.
04 - Equity, Legal & Transaction Support
Led stock option and equity administration, supported seller-entity formation and compliance setup, and helped coordinate transaction documentation, filings, notices, and diligence requirements.
05 - Customer Success, Support & Executive Reporting
Managed technical support and customer success continuity while strengthening KPI dashboards, Salesforce workflows, automated reporting, and executive visibility across customers, operations, and revenue.
What This Demonstrates
This case study demonstrates my ability to help software companies move through complex operating transitions where pricing strategy, revenue modeling, customer continuity, cloud operations, legal documentation, equity administration, diligence, and executive reporting all need to work together. I can translate messy startup operations into clearer models, KPIs, milestones, and systems that support founders, buyers, boards, executives, customers, and post-close leadership teams.

OPERATING PRINCIPLE
Diligence readiness is not just a finance exercise. It is the ability to explain how the business works, where risk lives, and whether the operating system can survive transition.
